Terms of Service

Please read these terms carefully before using BookerBat. By creating an account or using our services, you agree to be bound by these terms.

Last updated: 10 September 2026·Effective: 10 September 2026·Governing law: New Zealand
Policy updates: We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, notify you by email or via a notice in your dashboard. Your continued use of BookerBat after any change constitutes your acceptance of the updated Terms.

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "Customer") and DAIT Consultancy Limited, a company registered in New Zealand ("BookerBat", "we", "us", or "our"), governing your access to and use of the BookerBat platform available at bookerbat.com and any associated APIs, mobile applications, or services (collectively, the "Service").

By registering for an account, clicking "I agree", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

If you are accepting these Terms on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity.

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice within the Service. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.

2. Definitions

  • "Service" means the BookerBat online booking and business management platform, including all features, APIs, and content provided by DAIT Consultancy Limited.
  • "Customer" or "Business Owner (BO)" means any individual or business entity that registers for and uses the Service to manage their own business bookings.
  • "End Customer" means the clients or customers of a Business Owner who make or receive bookings through the Service.
  • "Content" means any data, text, images, or other materials uploaded, submitted, or created by you in connection with the Service.
  • "Subscription" means a paid plan (Starter or Pro) providing access to the Service for a recurring billing period.
  • "Trial Period" means the initial free access period of 14 days granted upon account registration.
  • "Personal Data" has the meaning given in the New Zealand Privacy Act 2020 and, where applicable, the EU General Data Protection Regulation (GDPR).

3. Account Registration and Eligibility

To use the Service, you must register for an account. You represent and warrant that:

  • You are at least 18 years of age or the legal age of majority in your jurisdiction.
  • You have full legal capacity to enter into this agreement.
  • All registration information you provide is accurate, current, and complete.
  • You will maintain the accuracy of your information and update it as necessary.
  • You are not prohibited from receiving services under applicable law.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@bookerbat.com if you suspect any unauthorised access or breach of security.

We reserve the right to refuse registration or cancel accounts at our discretion, including where we reasonably believe an account is being used fraudulently or in violation of these Terms.

4. Service Description and Availability

BookerBat provides a cloud-based appointment booking and business management platform that enables Business Owners to accept online bookings, manage employees and services, process payments, and communicate with their End Customers.

4.1 Platform Role

BookerBat acts solely as a technology platform and is not a party to any transaction or booking between a Business Owner and their End Customers. Business Owners are solely responsible for the services they offer, their pricing, the conduct of their employees, and their relationships with End Customers.

4.2 Payment Facilitation

Where a Business Owner enables online card payments, BookerBat facilitates the technical connection between the Business Owner's booking page and that Business Owner's own Stripe account. BookerBat does not hold, receive, process, or control any funds. All payments flow directly between the End Customer and the Business Owner's Stripe account. BookerBat is not a payment processor, payment service provider, or financial institution.

As a result:

  • BookerBat has no visibility into, or control over, individual payment transactions between Business Owners and their End Customers.
  • BookerBat is not liable for the failure of a Business Owner to deliver the services for which an End Customer has paid.
  • End Customers who have concerns about a payment should contact the Business Owner directly or raise a dispute through Stripe's chargeback process.
  • BookerBat recommends that End Customers use the "Pay in store" option if they have not previously visited or verified the legitimacy of a business.

By enabling online payments and saving Stripe API keys to their account, a Business Owner explicitly acknowledges and agrees that they are solely responsible for all transactions processed through their Stripe account and for delivering the services their End Customers have paid for.

4.3 Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to scheduled maintenance, emergency repairs, or circumstances beyond our reasonable control. We will endeavour to provide advance notice of scheduled downtime where practicable.

4.4 Modifications

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time. We will provide reasonable notice where such changes materially affect your use of the Service.

5. Subscription Plans and Billing

5.1 Plans

BookerBat offers a free plan with limited features and paid subscription plans ("Starter" and "Pro") with enhanced capabilities, as described at bookerbat.com. Plan details, features, limitations, and pricing are subject to change with reasonable notice.

5.2 Billing and Payment

Paid subscriptions are billed in advance on a monthly or annual basis. By providing payment details, you authorise us to charge the applicable fees through our payment processor, Stripe. Fees are charged in the currency applicable to your billing region — Australian Dollars (AUD), New Zealand Dollars (NZD), Singapore Dollars (SGD), or United States Dollars (USD) — as confirmed at the time of purchase. All fees are exclusive of applicable taxes (including GST, VAT, or similar levies where required by law), which you are responsible for paying.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will send a reminder email prior to annual renewals. You can manage or cancel your subscription at any time through the account settings or by contacting support@bookerbat.com.

5.4 Price Changes

We may change our subscription fees with at least 30 days' prior written notice. Price changes will take effect at the start of your next billing period following the notice period. Your continued use of the Service after a price change constitutes acceptance of the new fees.

5.6 Add-ons

Certain optional features ("Add-ons") may be purchased separately and added to an existing paid subscription. Add-ons are billed as recurring charges added to your existing subscription and will renew automatically each billing period. Currently available add-ons include:

  • SMS OTP Verification — enables one-time password verification via SMS for customer bookings. Available to Starter and Pro plan subscribers only. Billed at $15.00 USD/month, prorated to align with your existing subscription billing cycle.

When an add-on is activated, a prorated charge is applied immediately for the remainder of the current billing period. From the next billing period, the add-on fee is included in your regular subscription invoice. Cancelling an add-on takes effect immediately; access to the add-on feature is removed at the time of cancellation and any unused days are credited as a prorated amount against your next invoice.

Add-on pricing is subject to change with at least 30 days' prior written notice.

5.7 Failed Payments

If a payment fails, we will attempt to re-process the charge and notify you by email. If payment is not received within 7 days of the due date, we may suspend access to paid features until payment is received. Accounts suspended for non-payment for more than 30 days may be downgraded to the free plan.

6. Free Trial

New accounts receive a 14-day free trial of Pro plan features. No payment information is required to start the trial. At the end of the trial period, your account will automatically revert to the free plan unless you purchase a subscription.

We reserve the right to modify or discontinue free trial offers at any time. Only one free trial is available per business entity or individual. Creating multiple accounts to obtain additional free trials is prohibited.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You must not use the Service to:

  • Violate any applicable local, national, or international law or regulation.
  • Transmit unsolicited commercial communications or spam.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes, subject to these Terms. This licence does not include any right to sublicense, resell, modify, or create derivative works of the Service.

All rights not expressly granted herein are reserved by DAIT Consultancy Limited.

Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. We will notify you of material changes to our third-party service providers where reasonably practicable.

11. Data Processing and Privacy

11.1 Data Controller / Processor

With respect to your business data and account information, DAIT Consultancy Limited acts as a data controller. With respect to the personal data of your End Customers that you process through the Service, DAIT Consultancy Limited acts as a data processor on your behalf, and you are the data controller.

11.2 Your Obligations as Data Controller

As the data controller for your End Customers' data, you are responsible for:

  • Having a lawful basis for collecting and processing your End Customers' personal data.
  • Providing your End Customers with appropriate privacy notices.
  • Responding to data subject access requests from your End Customers.
  • Complying with applicable data protection laws in your jurisdiction.
  • Ensuring you only collect personal data that is necessary for booking management.

11.3 Our Privacy Policy

Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information").

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party; or (d) is required to be disclosed by law or court order.

13. Warranties and Disclaimers

We warrant that we will provide the Service with reasonable care and skill and in accordance with these Terms. We will use commercially reasonable efforts to maintain the security and integrity of the Service.

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without any other warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components, or that any errors or defects will be corrected.

Note for New Zealand customers: Nothing in these Terms limits any rights you may have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 that cannot be excluded. However, as the Service is supplied for business purposes, the Consumer Guarantees Act 1993 does not apply to the extent permitted under section 43 of that Act.

14. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall DAIT Consultancy Limited, its directors, employees, agents, or licensors be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, goodwill, or business opportunities.
  • Damages arising from your inability to access or use the Service.
  • Damages arising from any unauthorised access to or alteration of your data.
  • Any matter beyond our reasonable control.

Our total aggregate liability to you for any claims arising from or relating to these Terms or the Service will not exceed the greater of: (a) the amount you paid to us in the 12 months immediately preceding the event giving rise to the claim; or (b) NZD $100.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless DAIT Consultancy Limited and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

You may cancel your account at any time through your account settings or by contacting support@bookerbat.com. Cancellation takes effect at the end of your current billing period (for paid plans) or immediately (for free plans). No refunds are issued for partial billing periods unless required by law or as set out in our Refund Policy.

16.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You materially breach these Terms and fail to remedy the breach within 14 days of written notice.
  • You violate our Acceptable Use Policy.
  • We are required to do so by law.
  • Your account has been inactive for more than 24 consecutive months on the free plan.
  • We reasonably suspect fraudulent, abusive, or illegal activity on your account.

16.3 Effect of Termination

Upon termination, your right to access the Service immediately ceases. We will retain your data for 30 days post-termination to allow for reactivation, after which your data will be permanently deleted. Provisions of these Terms that by their nature should survive termination (including Sections 8, 9, 12, 13, 14, 15, and 19) will continue to apply.

17. Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from causes beyond their reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government action, civil unrest, fire, flood, earthquake, power outages, or failures of third-party infrastructure providers (including cloud or internet services).

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

18.2 Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good-faith negotiations. If the dispute is not resolved within 30 days of written notice, either party may refer the matter to mediation through the Arbitrators' and Mediators' Institute of New Zealand (AMINZ) before commencing court proceedings.

18.3 Jurisdiction

Subject to the dispute resolution process above, each party irrevocably submits to the exclusive jurisdiction of the courts of New Zealand for the resolution of any disputes that cannot be resolved through negotiation or mediation.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between you and BookerBat with respect to the Service and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
